These Terms of Service ("Terms") govern your use of syndrixai.com and the Syndrix AI service (the "Service"). The Service is operated by Pulse Code Tech Ltd, a company registered in England and Wales under number 16598257 ("we", "us"). By creating an account or using the Service you agree to these Terms.

1. The Service

Syndrix is an autonomous AI agent platform that connects to the tools and accounts you authorise and performs tasks on your behalf — email, scheduling, analytics, lead generation, trading and others described on our Features page. The Service is provided on a subscription basis. Specific capabilities, limits, and pricing are described on the Pricing page and are incorporated into these Terms.

2. Your account

You must be at least 18 years old and able to enter into a binding contract.
You are responsible for keeping your login credentials secure.
Activities carried out under your account are your responsibility, including actions performed by the agent on your behalf.
You must provide accurate registration information and keep it current.

3. Acceptable use

You agree not to use the Service to:

Break any applicable law or third-party terms.
Send spam, phishing messages, or unsolicited bulk communications.
Interfere with, reverse-engineer, or attempt to gain unauthorised access to the platform or other users' data.
Run the agent against systems you do not own or have explicit written permission to operate (for example, other people's websites, emails, or trading accounts).
Generate or disseminate illegal, harmful, defamatory, or infringing content.
Circumvent rate limits, security controls, or billing.

We reserve the right to suspend or terminate accounts that breach these rules, with or without notice.

4. Third-party accounts, API keys & BYOK

The Service connects to external providers you authorise (Google, Microsoft, Supabase, trading brokers, AI model providers, and others). You are responsible for:

Keeping those accounts in good standing.
Paying any fees charged by those providers (some plans are "bring your own key" for AI models — those costs are billed to you directly by the model provider).
Complying with each provider's own terms of service.

5. AI-generated output

The Service uses third-party AI models. AI output can be inaccurate, incomplete, or inappropriate. You must review agent output before taking any material action, especially in regulated areas (financial transactions, legal documents, medical advice, personal data). Syndrix is a tool — final responsibility for actions taken sits with you.

6. Trading & financial tasks

Syndrix includes tools that can place live trades through connected brokers. The Service is not investment advice and we are not authorised or regulated by the Financial Conduct Authority. You alone decide whether to enable live trading, and you bear all risk of loss. Historical performance does not predict future results. Never connect an account to Syndrix with funds you cannot afford to lose.

7. Subscriptions, fees & refunds

Subscriptions renew automatically at the end of each billing period unless cancelled.
Prices shown are exclusive of VAT unless stated otherwise.
You may cancel at any time; cancellation takes effect at the end of the current billing period.
Refunds are handled on a case-by-case basis. Under UK law, you have 14 days after initial purchase to cancel for a refund, provided the Service has not been substantially used.

8. Intellectual property

We own all rights in the Syndrix platform, software, and documentation. You own any data you submit and any content generated by the agent on your behalf. By using the Service you grant us a non-exclusive, limited licence to process your content only as necessary to deliver the Service and comply with legal obligations.

9. Privacy & data protection

Our handling of personal data is described in our Privacy Policy, which forms part of these Terms.

10. Warranties & disclaimers

The Service is provided "as is" without any warranty, express or implied, including but not limited to fitness for a particular purpose, merchantability, accuracy of output, or uninterrupted availability. Consumer rights under applicable law are not affected.

11. Limitation of liability

To the maximum extent permitted by law, our total aggregate liability arising out of or relating to the Service in any twelve-month period is limited to the amount you paid for the Service in that period. We are not liable for indirect, incidental, special, or consequential losses, including loss of profits, business, or data. Nothing in these Terms limits liability for death, personal injury caused by negligence, fraud, or any other liability that cannot be excluded under applicable law.

12. Termination

You may close your account at any time. We may suspend or terminate your account on notice for breach of these Terms, for non-payment, or if we reasonably believe the Service is being abused. On termination, we will delete or anonymise your personal data in line with our retention policy.

13. Changes to these Terms

We may update these Terms. Material changes will be notified by email or in-product at least 14 days before they take effect. Continuing to use the Service after that date means you accept the updated Terms.

14. Governing law

These Terms are governed by the laws of England and Wales. Disputes are subject to the exclusive jurisdiction of the courts of England and Wales.
